Version: 2.1 · Drafted: 2026-10-08 · Effective date: 2026-10-09Replaces: the website and portal terms prepared 2026-09-09 (context/policies/Website and Portal Policies.md), which were never published.
These terms apply when you use New Age Consulting, LLC's websites:
- consultnewage.com;
- the client portal;
- the signing service at sign.consultnewage.com;
- the intake form and its AI helper.
"NAC", "we" and "us" mean New Age Consulting, LLC, a Missouri limited liability company. "You" means the person using the site and, if you use it for an organization, that organization too.
Paid work is governed by a separate signed agreement, not by these terms. Please read Sections 11 and 12 closely: they limit what NAC is responsible for when you use the free website.
1. Agreeing to these terms
Please read these terms before using the site. At intake submission and other steps that expressly ask for agreement, you agree by selecting the agreement control and continuing; NAC records the applicable version with that submission. Browsing alone is not our proof of affirmative acceptance. You must be at least 18, and if you act for an organization, you must have authority to do so. If you do not agree at an agreement step, do not complete it; you can contact help@consultnewage.com instead.
We offer our services to clients in the United States.
2. General information and formal project records
2.1 Information only. None of the following makes an offer, a contract, a price commitment or a promise of a result:
- prices, package descriptions, timelines and examples;
- feasibility answers ("buildable now", "partly buildable", "not yet");
- replies from the AI helper;
- unapproved estimates, conversational suggestions and AI-generated drafts.
2.2 What binds NAC. Paid project work requires the signed services agreement and a Statement of Work or Consumer Order, as applicable. On NAC's side, only its authorized signer, currently Noah Hicks, can sign. The signed documents set scope, price, dates, ownership and remedies. Formal quotes, invoices, approved project instructions and contractual notices issued under NAC's approved workflow can have the effect stated in those documents. They are not made meaningless merely because email, the portal or an automated system delivers them. Routine implementation choices within approved scope do not require a new contract; material changes follow the signed agreement's approval process.
2.3 Prices. Published prices describe what we charge for the scope described. The binding project price and payment schedule are in your signed Statement of Work or Consumer Order. If we find a mistake on the site, we'll correct it. A correction never changes a document you've already signed.
2.4 Our published promises. Where the site describes a promise, we honor it as described, and your signed agreement sets out its full terms. The two promises are the Working Session refund and the 14-day correction period.
2.5 Examples are invented. Demos, sample quotes and case walk-throughs on the site use invented businesses and are labeled that way. They aren't client results.
3. Using the site properly
You agree not to:
- break the law, or use the site to help anyone else break it;
- send malware, bypass access controls/rate limits, or probe, scan or test security without NAC's express written authorization for that test;
- sign in as someone else, share a sign-in link or code, or use an account you aren't authorized to use;
- copy or collect site content or data in bulk by automated means. Search engines that follow our robots.txt are fine;
- try to make the AI helper ignore its instructions, reveal them, or do tasks that have nothing to do with NAC's services;
- submit false inquiries, spam, harassment, or someone else's personal information without the right to share it;
- send the sensitive information listed in our Privacy Notice (§3.7), such as passwords, card numbers, ID numbers or health information;
- interfere with the site or with other people's use of it.
We may block, limit or end your access, remove content, keep records of misuse, and report unlawful activity. If you're a client, we do this consistently with your signed agreement.
4. Portal and signing accounts
4.1 Keep your sign-in secure. Don't share your passkey, sign-in links or one-time codes. Tell us right away at help@consultnewage.com if you think someone else has used your account.
4.2 Organizations control their users. A client organization decides who in it gets portal access, and asks us to change that access. We may rely on instructions from the people the client names as its contacts.
4.3 Signing. Electronic signing follows the disclosure shown before you sign. You can ask for paper instead. Authenticated access lets you save and print the complete documents; links may expire or records may move to an archive. Keep your own copies, and contact support for a retained record you can no longer access. Identity and authority are checked before copies are released. No original link is promised forever.
5. What you send us
5.1 You keep your rights. Files and information you send us stay yours. You allow us to store, copy and use them to answer you, to prepare a quote, and to do any work you hire us for, as our Privacy Notice describes.
5.2 You must have the right to send it. You confirm that you're allowed to share what you send, and that using it as described won't break the law or anyone's rights.
5.3 Public forms aren't confidential channels. The intake form and AI helper aren't the place for confidential business information. Once we're working together, confidentiality comes from the signed agreement.
5.4 Suggestions. If you send ideas or suggestions about our services, we may use them without owing you anything. This doesn't cover your own business information or project materials.
6. Our content
The site's text, design, code, logos and the name "New Age Consulting" belong to NAC or its licensors. You may view and share pages for your own use, including evaluating our services for your organization. Don't copy the site or our branding, or present our content as yours. Other companies' names and marks belong to them.
7. Your reviews are yours
Nothing in these terms stops or penalizes you for posting an honest review, rating or comment about NAC, anywhere. We don't claim any rights in your reviews.
8. Links and other services
The site links to services we don't run, such as payment pages. We aren't responsible for their content or terms. Before you send money, check that the instructions came from an invoice NAC issued. We will never ask you to change payment details by email alone.
9. Availability and changes to the site
We may change, pause or remove any part of the site, including the AI helper, at any time. We don't promise that the site will always be available or free of errors.
10. If you use the site for an organization
If you use the site for an organization, the organization will cover NAC's reasonable costs, including reasonable attorney's fees, of third-party claims caused by its breach of Section 3 or by material it sent us without the right to do so. NAC will tell the organization promptly about the claim and let it direct the defense. This section doesn't apply to individuals using the site for themselves.
11. DISCLAIMER
THE WEBSITE, THE PORTAL'S GENERAL CONTENT AND THE AI HELPER ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, NAC DISCLAIMS ALL IMPLIED WARRANTIES FOR THEM, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CONTENT ON THE SITE AND REPLIES FROM THE AI HELPER ARE GENERAL INFORMATION. THEY CAN BE WRONG OR INCOMPLETE, AND THEY ARE NOT LEGAL, TAX, ACCOUNTING, FINANCIAL, MEDICAL OR OTHER PROFESSIONAL ADVICE.
This section does not reduce a promise in a signed agreement, paid portal/signing obligations, or a right the law does not let us exclude.
12. LIMITATION OF LIABILITY
FOR CLAIMS ARISING FROM YOUR USE OF THE FREE WEBSITE AND AI HELPER, TO THE FULLEST EXTENT THE LAW ALLOWS, AND WHETHER THE CLAIM IS BASED ON CONTRACT, WARRANTY, OR TORT, INCLUDING NAC'S OWN NEGLIGENCE:
(a) NAC IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL; AND
(b) NAC'S TOTAL LIABILITY IS LIMITED TO ONE HUNDRED DOLLARS ($100).
These limits do not apply to fraud, gross negligence, or willful or intentional misconduct. They also do not apply to any liability or consumer-protection right that the law does not allow to be limited. Paid services, including their portal/signing obligations, are governed by the signed agreement and applicable law; this free-site cap does not replace those rights or limits.
13. Disputes
13.1 Talk to us first. Before filing a claim about the site, send a written description to help@consultnewage.com or to our postal address, and give us 30 days to try to resolve it. This doesn't apply to small-claims cases, to urgent requests to a court to stop harm, or where the law says otherwise.
13.2 Missouri law. Missouri law governs these terms, without regard to its conflict-of-law rules.
13.3 Courts. Claims about the site go to the state courts for Laclede County, Missouri, or the federal court for that district. Where a law gives you the right to sue in another place, you keep that right. For example, Missouri's Merchandising Practices Act lets a consumer sue where the seller resides or where the transaction took place.
13.4 No arbitration. These terms don't require arbitration. They don't waive class actions, and they don't stop you from contacting a regulator.
14. Changes to these terms
We may update these terms. We'll post the new version with its effective date and keep a change log. Changes apply only to use of the site after that date. They never change a signed agreement.
15. General
- If a court finds part of these terms unenforceable, that part is limited as much as necessary and the rest still applies.
- Not enforcing a term right away doesn't waive it.
- You may not transfer your rights under these terms. We may transfer ours as part of a sale or reorganization of NAC's business.
- Neither side is responsible for delays caused by events outside its reasonable control.
- These terms and, where applicable, the Intake Assistant Terms govern general site use. The Privacy Notice is information about our practices, not contract terms; that does not excuse a false privacy statement. Signed paid-service agreements remain separate.
