This is a template. A marked blank is filled in from the quote and the client's details when a document is prepared for signing. A small label such as If a credit applies: marks a part that is printed only then.
Version: 1.1 · Effective date: Filled in: the day you signCompany: New Age Consulting, LLC, a Missouri limited liability company ("NAC", "we", "us")For: a person buying services in their own name ("you")
The short version. This box is a summary. The full terms below control.
- What you get: the work written in your signed Order. Routine technical choices can be made within that scope; new fees or material changes need your signed agreement.
- Payment: your Order states the schedule, whether full upfront payment or a deposit and milestones. Work waits for any payment due before it.
- Cancelling: until we start work, you can cancel for any reason and get every dollar back. After we start, you keep the work done so far and pay for it, and we refund the rest.
- If we agreed your purchase in person, away from our place of business: you also have three business days after you sign to cancel for a full refund, and we don't start work in that time.
- Review: when we deliver, you have 10 business days to check the work against the tests in your Order. We remind you before the time runs out.
- Fixes: for 14 days after you accept, we fix anything that fails those tests at no charge.
- You own it: once a deliverable is delivered and paid for, we transfer the rights we hold in it. We keep our own general tools; third-party parts keep their licenses, and AI content may not qualify for copyright.
- Limits: if something goes wrong, even through our negligence, the most we owe is what you paid under that Order. Section 13 explains this and what it doesn't cover.
- Your rights: you can review us honestly anywhere. There's no arbitration and no class-action waiver. Nothing here takes away a right the law gives you as a consumer.
1. Who this agreement is for
1.1 This agreement applies when you buy services from NAC in your own name, not on behalf of a company or other organization. We record the purpose you tell us (personal, family, household, or a side business). You get these terms whatever purpose you state.
1.2 You confirm that you are at least 18 years old and that the details you gave us are accurate.
1.3 This agreement and your Order form one contract. The Order sets out the work, the price, the acceptance tests and the dates. If they conflict, this agreement controls unless the Order names the exact section it changes. No Order can reduce your rights under Sections 5, 15, 16 or 17 or Appendix A.
2. Words we use
- Business day: Monday through Friday, except U.S. federal holidays and Missouri state holidays. Deadlines end at midnight Central time.
- Order: the document titled "Your Order" that you and NAC both sign for a purchase, and any signed change to it. It comes from the quote we gave you.
- Deliverable: something the Order says we will hand over, such as a website, an automation, a written plan or a prototype.
- Delivery notice: our written message that a deliverable is ready for your review.
- Your materials: text, images, files, logins you set up, and other things you give us.
- NAC tools: code, templates, prompts, methods and know-how we had before your Order or build for general use.
3. The work
3.1 We will do the work in your Order in a careful and competent way. We will not do work the Order doesn't include unless we both sign a change (Section 7).
3.2 Our website, AI replies and unapproved drafts help you decide; they do not make a new project contract or change its terms. An owner-approved quote is an offer on its stated terms. The signed Order sets the agreed work, and you can correct it before signing. Invoices, delivery notices, reminders and other notices issued under the contract have the effect it gives them, even when an authorized system delivers them.
3.3 Every item in your Order has a feasibility verdict: buildable now, partly buildable, or not yet. We price only what we believe is buildable. A "not yet" verdict is our honest judgment, not a promise that the item can never be built.
3.4 We use AI tools to research, draft, build and test. Noah Hicks reviews the main deliverables in your Order before we deliver them. Anything an AI tool produces on its own is not a promise, an acceptance or a professional opinion.
3.5 Our work is technical work. It is not legal, tax, accounting, financial, medical or other licensed professional advice.
4. Your part
4.1 You will give us accurate information and the materials the Order lists, and you will answer questions and review work within the times the Order sets. If you're late, our dates move by at least the same amount.
4.2 You keep control of your own accounts (domain, hosting, email, payment tools, software subscriptions) and sign in yourself. Add us as a named user with only the access the work needs. Do not put passwords, API keys or recovery codes in public forms, chat, email or project files. Do not send Social Security numbers, card or bank numbers, ID images or health information. If a specific integration cannot use named access, your Order may state a private vault or scoped access method, why it is needed and when access ends; you supply the credential through that method yourself, never in the Order. If excluded information arrives by mistake, we restrict its use, arrange return or secure deletion as appropriate and may ask you to change an exposed credential. Required preservation, reasonable care and applicable law still apply.
4.3 You confirm you have the right to give us your materials and to have us use them for the work. You keep your own backups of anything you give us.
4.4 If we can't reach you for 30 days after at least two written reminders, we may pause. If the pause lasts another 30 days, we may close the Order under Section 14.3.
5. Price and payment
5.1 Your Order states the payment schedule. It may require full payment at booking or a deposit and milestone payments. We need not schedule or start work until any payment due before that work has cleared, or start a later phase before any payment due for it clears. If Section 6.7 applies, we also wait until its cancellation deadline has passed. If a payment remains unpaid 7 calendar days after its due date, we may pause the affected work or end the Order by written notice, with performed work and refunds accounted for under Section 14. No work is owed before the relevant payment gate, and the schedule does not authorize automatic recurring charges.
5.2 Prices are shown before any sales tax. If tax applies, the invoice shows it before you pay.
5.3 You pay outside providers directly, in your own accounts, for things like domains, hosting and subscriptions. Their terms and prices are between you and them. We don't mark them up or resell them.
5.4 We don't add a surcharge for paying by card. We charge no interest or late fee under this agreement. An unpaid payment may still hold the work as Section 5.1 explains.
5.5 Credits. A Working Session fee counts 100% toward a package or build you sign within 30 days of the session memo. A Scope Sprint fee counts 50% toward the build it scoped if you sign within 30 days of the readout. A refunded fee earns no credit. Any discount appears as its own line on your Order, with its reason. It never depends on what you say about us.
5.6 If you think a charge is wrong, please tell us at help@consultnewage.com. We aim to answer within 5 business days. A prompt request helps us investigate; it is not a deadline that forfeits your claim. Nothing here limits your rights with your card issuer or bank, or any deadline the law sets.
6. Cancelling, and when work starts
6.1 Before we start work, you may cancel an Order for any reason and get a full refund of everything you paid for it. Once work has started, Section 14.1 applies instead: you keep the work done so far and pay for it, and we refund the rest.
6.2 To cancel, send us any written message that says you want to cancel: reply to your booking email, write to help@consultnewage.com, use the cancel option in your client portal where it is offered, or mail a letter to the address in Appendix A. A cancellation counts from the time you send it, even if it reaches us later.
6.3 We refund to your original payment method within 10 calendar days after we receive your cancellation.
6.4 When work starts. Signing your Order and clearing the payment due before the initial work is your go-ahead, unless the Order names a later start date. This is permission to start, not a statement that work has already been performed. We record the actual start in the project record. If Section 6.7 applies, we do not start until its deadline has passed, whatever date the Order names. Free cancellation ends only when work actually starts, not when an invoice is prepared or payment arrives.
6.5 Changes. A signed change that adds to the price works the same way. Until we start the added work, you may cancel the change and get back what you paid for it. Work already under way continues. If we agree the change in person, Section 6.7 applies to it.
6.6 Working Sessions. You may cancel a Working Session before it starts, like any other Order. It also carries its own promise afterwards:
If the session isn't useful, you don't pay. Tell us any time up to two business days after your memo arrives, by replying to your booking email, and New Age Consulting, LLC refunds everything you paid for the session, including any trip fee. One refund per client. Refunds go back to the original payment method within 10 business days.
Rescheduling a Working Session with at least one business day's notice is free, and a missed session can be rescheduled once. If you miss the rescheduled session without telling us before it starts, it counts as held, and the refund promise doesn't apply to it.
6.7 Purchases agreed in person. If we present a purchase to you in person and you agree to it anywhere other than NAC's place of business, Appendix A applies as well. It says exactly which purchases it covers. For a covered purchase:
- you may cancel for a full refund until midnight Central time on the third business day after you sign, even if you sign online later;
- we do no work of any kind until that deadline has passed, and that includes a Working Session;
- you can't waive this right, and we won't ask you to.
Where Appendix A gives you more than this Section, Appendix A controls. The federal Cooling-Off Rule does not give a fixed cancellation period to a purchase made entirely online, by mail or by phone. Sections 6.1 to 6.6 apply to our ordinary remote one-time work, together with any additional cancellation right the law gives your particular purchase. We do not label a purchase remote merely because an in-person sale is signed online later.
7. Changes
7.1 A material change to what we build, the acceptance tests, price or payment schedule, a committed deadline, ownership or security and data obligations needs a written change that we both sign. We tell you its effect before you sign. Until then, we may continue the unchanged work or pause work the proposed change affects; we are not required to do unapproved extra work. Fixing our failure to meet an existing promise is not extra paid scope merely because our estimate was wrong.
7.2 The signed change states its payment schedule. We need not start the added work until the payment due before it clears, and Section 6.5 applies.
7.3 We may choose tools, implementation details and the order of tasks that still meet your Order. You and NAC's named project contact may confirm routine instructions and target-date adjustments in writing without a new signed Order, if they do not add a fee or materially change anything in Section 7.1. A date expressly called a deadline cannot change this way. We record adjustments that affect your review or what we need from you.
8. Delivery, review and acceptance
8.1 When a deliverable is ready, we send you a delivery notice by email and in your client portal. It says what to review, which tests in your Order apply, and the last day of your review period.
8.2 You have 10 business days after the initial delivery notice to review. The notice gives the deadline as a date ending at 11:59:59 p.m. Central time. Within that time, either tell us you accept or describe the specific acceptance tests the deliverable fails, with enough detail to identify the problem. Plain language is enough; you do not have to use technical test numbers.
8.3 We remind you. At least 2 business days before your review period ends, we send a reminder stating the date and that the deliverable will count as accepted if we do not hear from you. Without a reminder, silence does not count as acceptance. If the reminder is late, your deadline is the later of the original date and the end of the second business day after we send it, at 11:59:59 p.m. Central time. We state the resulting deadline and never shorten your original review period.
8.4 If the deadline determined under Sections 8.2 and 8.3 passes, we sent the reminder, and you have not described a specific failure, the deliverable counts as accepted. A reminder on its own never allows acceptance before that deadline.
8.5 If you describe a failure, we fix failures we can reproduce that are within the agreed tests and send a new delivery notice. You then have 5 business days to review the corrected items and the tests they affect. The two-business-day reminder, late-reminder extension and acceptance rules in Sections 8.3 and 8.4 apply in the same way. A new, separate deliverable still gets its initial 10-business-day review.
8.6 Putting a deliverable into real use, for example publishing your site to the public, counts as accepting it. You still have the 14-day correction period in Section 9.
8.7 These aren't failures: a change of preference, a new requirement, or a problem caused by your materials, another provider, or changes someone other than NAC made. We can quote those as new work.
9. The 14-day correction period
Fourteen-day correction period. After you accept a delivery, you have 14 days to tell us if anything fails an acceptance test written into your quote. We fix it at no charge. Changed preferences, new requirements, and problems caused by other vendors or by changes made outside our work are new work. New Age Consulting, LLC provides this; the full terms are in your agreement.
The 14 days are calendar days, counted from the day of acceptance under Section 8. This defines the correction service included in the price; it does not shorten the legal time to bring a claim or take away a non-waivable warranty or consumer right.
10. Who owns what
10.1 You receive the rights we hold in your deliverables once they are delivered and paid for. We assign our rights in the parts created specifically for you, except the NAC tools and third-party parts described below. Some material may be made with AI; we do not guarantee that it qualifies for copyright or exclusive ownership. If we refund the fee for an unusable deliverable under Section 13.1, you stop using that deliverable and the transfer for it ends, to the extent the law allows. Your own materials remain yours.
10.2 You keep all rights in your materials. You let us use them only to do your work.
10.3 We keep NAC tools. Where NAC tools are built into your paid deliverable, we give you a permanent, royalty-free right to use, copy and change them as part of that deliverable for the use your Order describes, including letting users access your purchased end product. This right passes with a lawful transfer of the deliverable. You may not extract or sell NAC tools as a standalone tool or service.
10.4 Open-source and third-party parts stay under their own licenses. We list the main ones in your handoff notes.
10.5 We may reuse general skills and ideas we learn. We will never reuse your materials or your private information in someone else's work.
10.6 We won't show your project, your name or anything you said publicly without first asking you in a separate written request. You can say no, and saying no costs you nothing.
11. Your reviews are yours
You are free to review, rate and talk about NAC and our work, anywhere, including negative reviews. Nothing in this agreement, in an Order or in any discount limits that or penalizes you for it. We never offer a reward that depends on what a review says.
12. Privacy, confidentiality and recording
12.1 Our Privacy Notice explains what we collect, why, who helps us process it and how long we keep it. The version in effect when you sign is linked in your Order. We give it for your information. It doesn't reduce anything we promise in this agreement.
12.2 We keep your private information confidential and use it only for your work, for running necessary business records, and where the law requires. Our Privacy Notice describes the applicable record-retention schedule, archive handling and lawful holds. A retention period is not a promise that every old link stays active; you may request a retained signed copy through help@consultnewage.com with reasonable identity verification.
12.3 We record or transcribe a meeting only if everyone in it agrees at the start, and we say so on the recording. Our AI note-takers never join silently.
12.4 If we share something with you that we mark as confidential, such as security details of your own system, please don't publish it. That never limits your reviews or what you tell anyone about your experience with us.
13. What we promise and the limits
13.1 Our promise. We will do the work in a careful and competent way, and each deliverable will pass the acceptance tests in your Order when you accept it. If it doesn't, we will fix it. If we can't fix it after two tries, we will refund what you paid for the part that doesn't work. To the extent the law allows, fixing or refunding is how we make good on this promise.
13.2 WHAT WE DON'T PROMISE. EXCEPT FOR THE PROMISE IN SECTION 13.1, THE CORRECTION PERIOD IN SECTION 9, AND ANY WARRANTY THE LAW DOES NOT ALLOW US TO EXCLUDE, WE MAKE NO OTHER WARRANTIES. TO THE EXTENT THE LAW ALLOWS, WE EXCLUDE ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE. A WARRANTY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED IS PRESERVED FOR ITS REQUIRED DURATION; SECTION 9 IS NOT A DEADLINE FOR ALL WARRANTY OR LEGAL CLAIMS. We do not promise a particular result such as more customers, revenue, search ranking, bookings or savings. We do not promise uninterrupted outside services or always-correct AI output.
13.3 LIMIT OF OUR LIABILITY, INCLUDING FOR OUR NEGLIGENCE. THIS SECTION LIMITS WHAT YOU CAN RECOVER FROM NAC, EVEN IF A LOSS IS CAUSED BY NAC'S NEGLIGENCE OR OTHER FAULT. TO THE EXTENT THE LAW ALLOWS: (a) NAC'S TOTAL LIABILITY FOR ALL CLAIMS ABOUT AN ORDER, INCLUDING CLAIMS FOR NAC'S NEGLIGENCE, IS LIMITED TO THE TOTAL AMOUNT YOU PAID NAC UNDER THAT ORDER. (b) NAC IS NOT LIABLE FOR LOST PROFITS, LOST INCOME, LOST DATA, OR INDIRECT OR CONSEQUENTIAL LOSSES, EVEN IF CAUSED BY NAC'S NEGLIGENCE OR OTHER FAULT.
13.4 What the limit does not cover. Section 13.3 does not limit NAC's liability for:
- gross negligence, recklessness, or intentional or willful misconduct;
- fraud or intentional misrepresentation;
- death, bodily injury or damage to physical property;
- refunds NAC owes you under this agreement; or
- any liability, claim or remedy that the law does not allow to be limited, including your rights under consumer-protection laws.
13.5 Section 13.3 is also summarized in the box directly above the signature lines.
14. Pausing and ending
14.1 You may end an Order at any time by telling us in writing. Before work starts, Section 6 applies and you get a full refund. After work starts, you pay for work properly performed and costs you approved in writing that we paid to others and cannot recover, but never more than the agreed Order price without a signed change. We measure performed work by the stages in the Order, or the documented share of planned work completed if there are no stages, and explain the figure in writing. We deliver your paid work in its current form and refund prepaid amounts above that earned amount within 10 calendar days after receiving cancellation. If earned work is unpaid, we issue an itemized final invoice; no cancellation penalty or future recurring charge is added.
14.2 We may pause if you ask us to do something unlawful, send prohibited data (Section 4.2), put anyone's security or safety at risk, or harass or threaten anyone working on your project. We tell you why in writing.
14.3 We may end an Order if one of the reasons in Section 14.2 isn't fixed within 10 business days after our written notice, or under Section 4.4. We then deliver the work done so far and refund the price of work not yet done, measured as in Section 14.1.
14.4 If we end an Order for a reason that is not your fault, including because we cannot finish it, we deliver paid work in its current state and refund prepaid amounts for work not delivered. Section 13.1 and your non-waivable rights still govern work that does not meet our promises. Starting a phase does not automatically make its whole fee earned.
14.5 Sections 10 to 17 continue after an Order ends.
15. Disputes
15.1 Talk to us first. If there is a problem, email help@consultnewage.com with a short description. We aim to reply within 5 business days and work toward a resolution within 20 business days. These are service targets, not a condition on your legal rights or permission to delay a statutory deadline. Either of us may act sooner where waiting would cause harm.
15.2 No arbitration and no class-action waiver. Either of us may go to court. You may use small-claims court for any claim that qualifies.
15.3 Court. Missouri law governs this agreement. We will bring any claim against you in a court for the county where you live. You may bring a claim against us in a state or federal court in Laclede County, Missouri, or in any other court the law allows you to use.
15.4 Legal fees. Each of us pays our own lawyers, unless a law lets the court award fees to one side.
16. Your consumer rights
Nothing in this agreement limits or waives any right or remedy the law gives you as a consumer. If you live outside Missouri, you keep any protection of your home state's law that can't be given up by contract. If any part of this agreement conflicts with those rights, those rights win and the rest of the agreement stays in effect.
17. General terms
17.1 Electronic signing and notices. We sign agreements electronically only after you have seen our electronic-records disclosure and agreed to it. You can ask for paper at any time. We send notices about your Order to the email address in your Order, and you can send notices to help@consultnewage.com. Update your contact details at any time by writing to us.
17.2 No recurring charges under this Order. This agreement's ordinary Order is for one-time work. A deposit or milestone schedule is not a subscription. Any future recurring service needs a separate, supported sign-up stating its scope, price, renewal, cancellation and refund terms, and any express recurring-payment consent the law requires. Nothing here signs you up for it.
17.3 Events outside our control. Neither of us is responsible for a delay caused by something outside our reasonable control, such as a provider outage, severe weather or illness. Dates move by the length of the delay. If a delay lasts more than 30 days, either of us may end the Order under Section 14.1 or 14.4.
17.4 Transfers. You may transfer an Order to someone else only with our written consent. We may transfer this agreement to a business that takes over NAC's services if it takes on all of our duties to you, and we will tell you.
17.5 Whole agreement. This agreement, your Order and any signed changes are the whole agreement about your work. A material change must be in writing and signed by both of us; routine decisions under Section 7.3 do not amend the contract. If a court finds part unenforceable, that part is limited as much as needed and the rest stays in effect.
17.6 Language. If we presented the sale to you mainly in a language other than English, we will give you this agreement and any required notice in that language.
Signatures
BEFORE YOU SIGN: LIMIT OF LIABILITY (SECTION 13.3). EVEN IF NAC IS NEGLIGENT OR OTHERWISE AT FAULT, NAC'S TOTAL LIABILITY FOR ALL CLAIMS ABOUT AN ORDER IS LIMITED TO WHAT YOU PAID UNDER THAT ORDER, AND NAC IS NOT LIABLE FOR LOST PROFITS, LOST DATA OR CONSEQUENTIAL LOSSES. THIS LIMIT DOES NOT APPLY TO GROSS NEGLIGENCE, INTENTIONAL MISCONDUCT, FRAUD, BODILY INJURY, REFUNDS OWED, OR RIGHTS THE LAW DOES NOT ALLOW TO BE LIMITED.
YOUR RIGHT TO CANCEL (SECTION 6). You may cancel this purchase for a full refund at any time before we start work.
[If a cancellation period applies: Because we agreed this purchase in person, you may also cancel it for a full refund until midnight Central time on Filled in: last day to cancel. No work starts before then.

Appendix A: Purchases agreed in person away from NAC's place of business
This appendix gives you the additional cancellation rights stated below for a covered in-person purchase. The FTC's Cooling-Off Rule (16 CFR Part 429), applicable home-solicitation law and any greater mandatory rights also apply. Where this appendix gives you more than the rest of the agreement, it controls. Before agreeing a covered sale, NAC must supply its completed, applicable cancellation packet; this appendix is not permission to skip a required notice or form.
A.1 When it applies
It applies when NAC personally presents a sale to you and you agree to buy somewhere other than NAC's place of business, which is Filled in: NAC's street address. That includes:
- a purchase of $25 or more agreed at your home, even if you invited us there; and
- a purchase of $130 or more agreed at another place, such as your workplace, a restaurant, a hotel or a rented room.
It also applies to training or a course meeting those price thresholds that you agree to buy in those places, whatever its purpose. NAC treats a sale as covered if we agreed the scope and price in person and you sign later online. The transaction date is then the day you sign. It does not apply to a purchase made entirely by mail, phone or online without an in-person presentation; any additional mandatory right for that purchase remains preserved.
A.2 Your right to cancel
You may cancel without any penalty or obligation until midnight Central time on the third business day after the transaction date. For this appendix, business days are counted as in Section 2 (Saturdays, Sundays and holidays are not counted). That count is never shorter than the federal count, which includes Saturdays.
A.3 What NAC must give you
At the time you agree to buy, NAC will:
- give you a completed copy of this agreement and your Order, showing the transaction date and NAC's name and address, with the cancellation statement required by 16 CFR 429.1(a) next to your signature line, in bold type of at least 10 points;
- give you two completed copies of the Notice of Cancellation below, with the transaction date, NAC's name and address, and the last day to cancel filled in, attached to your agreement and easy to detach: one to keep and one to send;
- tell you out loud that you have the right to cancel and how to do it; and
- give these papers on paper, in the language used in the sales presentation, even if you also sign electronically.
The statement next to your signature reads:
You, the buyer, may cancel this transaction at any time prior to midnight of the third business day after the date of this transaction. See the attached notice of cancellation form for an explanation of this right.
You can't waive this right, and NAC will never ask you to.
A.4 Refunds
If you cancel on time, NAC returns all payments you made within 10 calendar days after receiving your notice, or sooner if applicable law requires. The 10-calendar-day promise is earlier than the federal Rule's 10-business-day limit. NAC does not take notes, trade-ins or security interests from consumers. If any were taken by mistake, they are returned or cancelled in the same time.
A.5 No work before the deadline
NAC performs no work of any kind for a covered sale until the cancellation deadline passes without a cancellation. That includes setup, scheduling and a Working Session. This is the agreed start rule, in addition to any prohibition or refund right applicable law imposes; early work is not a way to remove your cancellation rights or add a fee for using them.
A.6 Notice of Cancellation (form)
For a covered purchase, NAC provides two completed copies with the transaction date and last day to cancel filled in. You keep one copy and may use the other, or another written message, to cancel. Any additional form required by the law governing this sale is supplied with the packet.
If a cancellation period applies:
NOTICE OF CANCELLATION
Date of transaction: Filled in: date of the purchase
You may cancel this purchase, without any penalty or obligation, within three business days from the date above.
If you cancel, any payment you made, any property you traded in, and any note or other paper you signed will be returned to you within 10 days after the seller receives your cancellation notice. Any security interest arising from this purchase will be cancelled.
[If goods were delivered: If you cancel, you must make any goods delivered to you under this purchase available to the seller at your home in substantially as good condition as when you received them, or you may follow the seller's instructions to return them at the seller's expense and risk. If you make the goods available and the seller does not pick them up within 20 days of your cancellation notice, you may keep them with no further obligation. If you don't make them available, or agree to return them and don't, you remain responsible for performing all obligations under the contract.
To cancel, mail or deliver a signed and dated copy of this notice, or any other written notice, to New Age Consulting, LLC at Filled in: NAC's street address, or email it to help@consultnewage.com, no later than midnight Central time on Filled in: last day to cancel.
