Change Order

This Change Order amends the SOW above under Section 4 of the Business Services Agreement (the "Agreement"). Everything in the SOW and the Agreement that this Change Order does not change stays the same.

Nothing in this Change Order takes effect, and NAC will not start the materially changed work, until both authorized signers have signed it. An unapproved message or AI reply cannot add fees or material commitments. Routine implementation choices and target-date adjustments permitted by Agreement §4.3 do not change the SOW and do not need this document.

• Client delay: a Client input was more than 7 calendar days late after a written request (Agreement §5.2(b));
• Failed assumption: an SOW assumption turned out to be wrong (SOW section 7);
• Scope reduction: Client asks to remove work.

Each new or changed Deliverable has the same seven Definition-of-Done fields as the SOW. A Deliverable not listed here keeps its SOW definition and acceptance tests.

4. Effect on price

• Added work is priced for this change and shown one line per component, the same way as the SOW. Any discount appears as its own line, with its reason. It does not depend on anything Client says about NAC. A discount on the SOW does not carry over to added work unless this Change Order shows it.
• Scope reductions lower the price only for work not yet performed. NAC keeps fees for properly performed work on removed items and approved non-cancellable commitments, with unearned prepaid fees accounted for under Agreement §17.5. Starting a sprint alone does not earn its entire fee.
• A Client-delay change covers NAC's reasonable cost of rescheduling and any added work. It is never a penalty.

7. Effect on acceptance

9. Validity

This Change Order is NAC's offer. It expires at the time shown at the top unless both parties sign before then. NAC may withdraw it at any time before Client signs. Until it is signed, NAC may continue the unchanged work, or pause work the change would affect. A pause caused by a change Client requested counts as Client delay (Agreement §4.4).

Signatures

By signing, each party agrees to amend the SOW as stated above. All other terms of the SOW and the Business Services Agreement vFilled in: agreement version, including Section 8 (warranty disclaimer) and Section 9 (limitation of liability), apply to the changed work.

LIMITATION OF LIABILITY NOTICE. SECTION 9 OF THE AGREEMENT LIMITS EACH PARTY'S LIABILITY TO THE OTHER, INCLUDING FOR NEGLIGENCE, TO THE FEES PAID UNDER THE SOW IN THE PRIOR 12 MONTHS, AND EXCLUDES LOST PROFITS AND OTHER INDIRECT DAMAGES. THIS CHANGE ORDER DOES NOT CHANGE THAT LIMIT.
